Terms of Service

1. Parties

PaperChase Consulting is a brand of PaperChaseWebb, Inc. (“Provider”). By using this website or purchasing an offer, you agree to these terms on behalf of yourself or the organization you represent.

2. Nature of services

We provide systems operations consulting: assessment, design, installation support, and managed continuity for business workflows and AI-assisted operations. Deliverables, scope, and fees for project work are defined in a written statement of work (SOW), engagement letter, or package description. Website marketing is not a substitute for a signed SOW.

3. Systems Ops Audit (A1)

• Fixed SMB price: $1,000 USD unless otherwise quoted in writing.
• Payment is due at checkout (Stripe) or on invoice terms we state.
• Findings credit toward eligible Sprint (B1) or Deployment (B2) fees when the next engagement is contracted within 14 days of findings delivery, as described on the site and confirmed in writing.
• Assessment is advisory. It is not certification, audit attestation, or a guarantee of specific business outcomes.

4. Free scorecard

The Systems Operations Scorecard is a self-assessment qualifier. Results are indicative only and create no engagement obligation on either side.

5. Client responsibilities

You will provide timely access to people, systems, and accurate information needed for delivery; designate a decision owner; and ensure you have rights to share any data you provide. You remain responsible for your production systems, compliance obligations, and final go-live decisions.

6. Payment

• Assessment: due at checkout or schedule stated on invoice.
• Projects ≤ $10,000: typically 60% / 30% / 10% unless SOW says otherwise.
• Managed ops retainers: billed in advance after written authorization.
• Net 15 standard; Net 30 only if we approve credit in writing.
• Late amounts may pause work. Taxes extra where applicable.

7. Intellectual property

Pre-existing Provider methods, frameworks (including PSOF materials we publish or deliver as templates), and tools remain Provider IP. Client-specific deliverables created under a paid SOW transfer or license as stated in that SOW. Without a conflicting SOW, you receive a non-exclusive license to use assessment findings for internal business purposes.

8. Confidentiality

Each party will protect the other’s non-public business information with reasonable care and use it only to perform the engagement, except for information that is public, independently developed, or required to be disclosed by law.

9. No warranty; limitation

Services are provided professionally and in good faith. Except as required by law, we disclaim implied warranties of merchantability and fitness for a particular purpose. To the maximum extent permitted by law, Provider’s aggregate liability arising from website use or an engagement is limited to fees paid to Provider for the engagement giving rise to the claim in the twelve months before the claim. We are not liable for indirect, incidental, special, or consequential damages, lost profits, or data loss, even if advised of the possibility.

10. Website use

Do not abuse forms, attempt unauthorized access, scrape in a way that degrades service, or misrepresent affiliation. Content is for information; it is not legal, tax, investment, or medical advice.

11. Governing law

These terms are governed by the laws of the State of Hawaii, without regard to conflict-of-law rules. Exclusive venue for disputes is state or federal courts located in Honolulu County, Hawaii, unless a SOW specifies arbitration or another forum.

12. Changes

We may update these website terms. Material changes for ongoing clients will be communicated as required by the governing SOW. Continued use of the site after the effective date constitutes acceptance of website-term updates.
